Conditions of Sale

You must read, agree with and accept all of the terms and conditions contained below before commencing to use PeopleInsite services.

Terms of Sale

  • These are the terms and conditions upon which PeopleInsite Pty Limited (ACN 131 231 005) sells its online services and products.
  • By clicking on the “Agree” button, you agree to be bound by the following terms and conditions.
  • As well as the terms and conditions, an agreement is made up of:
    • PeopleInsite’s PAYG Pricing Table; and
    • a Licensing Agreement, if applicable.
      (“the Agreement”)
  • The Agreement starts when you press the “I Accept” button.
  • The Agreement will continue until we have finished providing the services to you and we have received payment from you in full.
  • You cannot make any changes to the Agreement without first obtaining our consent.
  • You must ensure that any person you allow to use the Services complies with the Agreement as if they were you.
Supply of the Services
  • The Services you select will be detailed on the PeopleInsite website.
  • We will provide the Services to you with due care and skill, provided you meet all of your obligations.
Your use of the Services

When you use the Services, you must:
  • provide us with accurate information in response to the questions we ask you;
  • accept responsibility for all decisions made by you in response to questions asked by PeopleInsite;
  • not rely on the PeopleInsite products and services as a substitute for legal advice;
  • agree that we are entitled to rely on the accuracy and suitability of the information you provide;
  • maintain the confidentiality of your username and password;
  • not onsell any products created through PeopleInsite.

Fees and Charges

You may elect to choose between purchasing PeopleInsite Services on a pay as you go basis or licensing system.

If you choose the pay as you go system:

  • you must pay the fees and charges for the Services which are set out in the PeopleInsite PAYG Pricing Table and any additional fees and charges notified by us in accordance with the Agreement from time to time;
  • you must pay each time you use the Services. Payment is made by purchasing credits; and
  • if you do not pay the amount owing for the Services, you will not be able to successfully use the Services.
If you choose the licensing system:
  • we may offer you a special price which will be advised separately in writing, depending on the volume of your use of the Services; and
  • you may need to enter a Licensing Agreement.
  • You may pay by any one of the payment methods set out on our website or as agreed in the Licensing Agreement

Unless otherwise indicated, the fees and charges set out in the PeopleInsite PAYG Pricing Table exclude GST.

Refund Policy

Once a credit has been purchased it can only be applied towards acquiring PeopleInsite Services. No refunds will be made under any circumstances. Additional or replacement credits may be provided to you at the absolute discretion of PeopleInsite.

Warranties and Liability

  • We make no warranty that the Services will meet your requirements, be uninterrupted, timely or error-free.
  • We may be liable to you under the Trade Practices Act. Nothing in this Agreement removes any right you may have under that law.
  • We are not liable for any loss or damage arising out of or in any way relating to your use of the Services or this Agreement that you claim apart from as set out in the first point of this section.
  • Specifically, we are not liable for the following:
    • any delay or inability to use the Services due to an internet service provider;
    • any delay due to the Workplace Authority;
    • you giving us inaccurate information;
    • you making an incorrect decision;
    • you substituting the PeopleInsite services for specific legal advice in an unusual or difficult circumstance;
    • any special, consequential or exemplary loss or damage.
Indemnity
  • You indemnify us against all liabilities, claims and expenses that arise directly or indirectly from your breach of the Agreement or your use of the Services.
Intellectual Property
  • We own all material (including all Intellectual Property Rights) developed by us or at our direction.
  • We may permit you to use this material as part of the Services. This may include the right to use templates and reports for the purpose of your business.
  • You must not infringe our Intellectual Property Rights (such as by using, copying, reproducing or distributing data or software without our permission) in using the Services. If you breach this paragraph, we may suspend or cancel the Services without notice.
Termination
  • We may terminate this Agreement by giving fourteen (14) days notice if you breach any obligation you have under this Agreement.
  • If you have elected to acquire PeopleInsite Services on the pay as you go basis, you can terminate this Agreement by ceasing to use the Services. In that case you are not entitled to any refund of unused credits.
  • Sections of this Agreement relating to Warranties and Liability, Indemnity and Intellectual Property survive the termination of this Agreement.
Use of Information
  • You acknowledge that any personal information you provide to us may be used by us:
    • in the provision of the Services;
    • to assist us to market PeopleInsite products or services to you, including by email.
  • If you do not wish to receive email messages from us in relation to PeopleInsite Services or products, please email: info@peopleinsite.com.au
Miscellaneous
  • This Agreement is governed by the laws applicable in the State of New South Wales and both parties agree to irrevocably submit to the exclusive jurisdiction of the laws of that State.
  • We agree to provide the PeopleInsite products as an independent contractor and no other relationship can be implied.
  • You cannot assign or transfer the benefit of this Agreement without our prior consent.
  • The waiver by us of a breach of any provision of this Agreement will not be construed as a waiver of any other breaches.
Definitions

In these Terms and Conditions, the following terms have the following meanings:

Intellectual Property Rights
means any intellectual or industrial property rights, including registered or unregistered trademarks, patents, designs or copyright including copyright in and to all PeopleInsite products or Services, templates, forms, agreements, reports and associated documents;

PeopleInsite PAYG Pricing Table
means the pricing table for PeopleInsite products which can be purchased on a “pay as you go” basis, published on PeopleInsite’s website, as amended from time to time.

Services
means the PeopleInsite service which you elect to use as described in the service description and any ancillary services which we supply to you in connection with that service;

We
means PeopleInsite Pty Limited (and us and our is to be construed accordingly);

You
means the person who fills out the registration form on our website (and your and yours is to be construed accordingly).
